Foresite Terms of Service

These Terms of Service ("Terms") are an agreement between you, the customer ("you", "Customer"), and Devon Theriault, a sole proprietor carrying on business as Devs Industries in Nova Scotia, Canada ("Foresite", "we", "us"). They govern your use of the Foresite web analytics service, the dashboard at app.foresite.dev, the Foresite tracking script, and related services (together, the "Service").

By creating an account, starting a trial, or using the Service, you agree to these Terms. If you accept them on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.

1. Who may use Foresite

1.1 The Service is for business and professional use. You must be at least 18 years old and able to enter a binding contract.

1.2 Each account has one login. You are responsible for everything done through your account and for keeping access to your email address and sign-in method secure.

2. The Service

2.1 Foresite measures traffic on websites you add to your account ("Sites") through a script you embed ("Tracking Script"), and shows you aggregate statistics.

2.2 Foresite is designed so that it does not identify individual visitors. It sets no cookies and stores nothing on visitors' devices, and it never stores visitors' IP addresses. How the Service processes visitor data is described in our Privacy Policy and our Data Processing Agreement (DPA), which forms part of these Terms.

2.3 Your own compliance. You decide which websites to measure and what data you send to Foresite. You remain responsible for your own legal obligations to your visitors, including your website's privacy notice and any decision about consent banners. Our descriptions of how Foresite works are not legal advice.

3. Trial

3.1 New accounts get a free 7-day trial, with no payment details required.

3.2 If you don't subscribe by the end of the trial, measurement stops and your account becomes Lapsed (see section 6).

4. Subscriptions, pricing and payment

4.1 Reseller. Our order process is run by our online reseller, Paddle.com, which is the Merchant of Record for all orders. Paddle handles payments, taxes, invoices, payment retries and billing support. Your purchase is also subject to Paddle's buyer terms.

4.2 Tiers. Subscriptions are priced by the number of billable events per month (pageviews and custom events, including automatic events you switch on), and every tier includes unlimited Sites. Current tiers and prices are listed at foresite.dev/pricing. Events we filter as bot, data-centre or flood traffic are never billable.

4.3 Billing cycle. Subscriptions are billed monthly and renew automatically until you cancel.

4.4 Your tier follows your usage. You don't choose a tier. Your first payment is for the tier that fits the larger of your billable events in the previous calendar month and in the current month so far. After that, at the start of each calendar month we move you, up or down, to the tier that fits your billable events in the month just ended, and that tier's price applies from your next billing date. We'll email you whenever this changes your price. We never stop measuring because of your traffic.

4.5 Price changes. We may change tier prices with at least 30 days' email notice. Changes apply from your next renewal after the notice period.

4.6 Refunds. If you ask within 14 days of any payment, we'll refund that payment in full, with no conditions. A refund doesn't cancel your subscription by itself. See our Refund Policy.

5. Failed payments

5.1 If a payment fails, your subscription becomes Past Due. Paddle will retry the payment for up to 14 days, and measurement continues during that time.

5.2 If payment still hasn't succeeded after 14 days, your account becomes Lapsed.

6. Cancellation, lapse and deletion

6.1 You can cancel at any time from your dashboard. Cancellation takes effect at the end of your current billing period.

6.2 When an account is Lapsed (cancelled, unpaid after the Past Due period, or a trial that ended without subscribing):

  • measurement of all your Sites stops;
  • your dashboard stays available read-only for 30 days, and you can export your data during that time;
  • after those 30 days, all data for your Sites is permanently deleted.

We'll email you before each of these steps.

6.3 Erasure. You can permanently delete your account and all your data at any time from your dashboard. This cancels your subscription immediately. Section 4.6 still applies to your last payment. Your data is removed from our live systems within 24 hours and from all backups within 30 days. Erasure cannot be undone.

7. Your data

7.1 You own the data collected for your Sites ("Customer Data"). You grant us a licence to process it only to provide, secure and improve the Service, as described in the DPA.

7.2 We may compile anonymous, aggregate statistics about use of the Service (for example, total events processed) that don't identify you, your Sites or any visitor.

7.3 You can export your Customer Data from the dashboard as CSV at any time while your account is active or Lapsed.

8. Acceptable use

You must not:

a. install the Tracking Script on a website you don't own or aren't authorised to measure;

b. send Foresite personal data about visitors, such as names, email addresses, phone numbers, account IDs or IP addresses, in custom event names, properties, page URLs or any other field. Foresite automatically discards values that look like personal data, but this is a safety net and doesn't shift responsibility to us;

c. use the Service to identify, profile or track individual people;

d. send fabricated, spoofed or automated traffic, or interfere with or overload the Service;

e. reverse engineer the Service, except the Tracking Script, which is open source under its own licence (https://github.com/devontheriault/foresite-tracker);

f. use the Service for anything unlawful.

We may suspend Sites or accounts that breach this section. Where practical, we'll notify you first and give you a chance to fix the problem.

9. Brands, custom domains and email reports

9.1 You confirm you have the right to use any logo, name or other material you upload as a Brand, and you are responsible for it.

9.2 For custom domains, you are responsible for your DNS records. Removing or changing them may stop measurement or break branded links.

9.3 You may add Email Report recipients only if you have a business relationship with them. Each recipient must confirm by email before receiving reports and can unsubscribe at any time.

10. Availability and changes to the Service

10.1 We aim for high availability but don't guarantee uninterrupted service. Traffic that occurs while the Service is unavailable may not be recorded. Service status is published at a public status page.

10.2 We may change or improve the Service. If we remove a feature that's material to paid Subscriptions, we'll give you at least 30 days' email notice.

11. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF STATISTICS. Analytics figures are estimates. For example, unique visitors are counted per day and are approximate.

12. Limitation of liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12.2 WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY.

12.3 Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You will indemnify and hold us harmless from claims, fines, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your Sites, or data you send to the Service in breach of section 8.

14. Termination by us

We may terminate your account with 30 days' notice for any reason, or immediately for a material breach of these Terms. If we terminate without cause, we'll refund the unused portion of any prepaid period.

15. Changes to these Terms

We may update these Terms. We'll email you at least 30 days before material changes take effect. If you keep using the Service after that, you accept the updated Terms. If you don't agree, you may cancel before they take effect.

16. General

16.1 Governing law. These Terms are governed by the laws of Nova Scotia and the federal laws of Canada that apply there. The courts of Nova Scotia have exclusive jurisdiction, except where mandatory consumer law gives you the right to sue elsewhere.

16.2 Entire agreement. These Terms, the DPA and the Privacy Policy are the entire agreement between us about the Service.

16.3 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a sale or reorganisation of the business, including incorporation, with notice to you.

16.4 Severability. If any provision is unenforceable, the rest remains in effect.

16.5 Notices. We'll send notices to your account email address. Send notices to us at legal@foresite.dev.

16.6 Language. These Terms are written in English, and the parties confirm their wish that they be drawn up in English.
